1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Refinix ("Company," "we," "us," "our," or "Service"). By accessing or using Refinix, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of the Service after changes constitutes acceptance.

2. Service Description

Refinix is an AI-powered intelligence and monitoring platform that helps users aggregate, analyse, and summarise information from user-selected sources, including supported social, messaging, market, and web-based data sources. Cryptocurrency and token monitoring is one supported use case among others.

  • Aggregates and analyses data from Telegram and X (formerly Twitter), as well as other supported sources
  • Generates AI-powered insights and summaries using third-party LLM APIs
  • Tracks signals and trends across communities and markets selected by users
  • Provides monitoring and alert features for user-selected sources
  • Offers historical insights and analytics for research purposes

Beta / Early-Access Notice: Refinix is currently offered as a beta or early-access service. Features may be incomplete, experimental, unstable, or subject to change without notice. Usage limits, availability, and functionality may vary. We make no guarantee of uninterrupted service or feature completeness during this period.

3. Eligibility

To use Refinix, you must:

  • Be at least 18 years old and have legal capacity to enter into binding agreements
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not be prohibited from using the Service under any sanctions or restrictions
  • Have lawful authority to grant the permissions you authorize (e.g., Telegram/X (formerly Twitter) account access)

4. Account Registration and Security

4.1 Registration

You are responsible for:

  • Providing accurate, current, and complete information during registration
  • Maintaining the confidentiality of your password and account credentials
  • Immediately notifying us of any unauthorized access or breach
  • All activities that occur under your account

4.2 Account Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You violate third-party intellectual property or privacy rights
  • You abuse the Service or its infrastructure
  • We are required to do so by law or regulation
  • You fail to maintain account security

You may request account termination at any time by contacting support@refinix.ai. Upon termination, your access ceases immediately, though certain data retention obligations may apply.

5. Third-Party Integrations and Authorization

5.1 Source Monitoring

Some features allow users to monitor publicly available sources without connecting a personal account. For private, restricted, or account-specific sources, users must connect the relevant account and must have lawful authority to grant Refinix access.

By authorizing access to private sources:

  • You grant us permission to retrieve metadata and content from groups, channels, or accounts you explicitly authorize us to access
  • You grant us permission to access your X (formerly Twitter) profile and timeline data where applicable
  • You represent that you have authority to grant these permissions
  • You understand we may collect group metadata, user IDs, and aggregated message counts
  • You understand raw message content is processed to generate insights and is retained only for the periods stated in our Privacy Policy

5.2 Third-Party Service Compliance

You must comply with Telegram and X (formerly Twitter)'s terms of service and any platform-specific restrictions. You are solely responsible for:

  • Obtaining proper authorization from group admins before monitoring private groups
  • Ensuring your use complies with platform terms and applicable laws
  • Monitoring data from sources you own or have permission to monitor
  • Complying with anti-spam, rate-limit, and API usage policies

5.3 LLM and External APIs

Refinix uses third-party LLM providers via OpenRouter to generate insights and summaries. By using this feature:

  • You consent to data being sent to third-party LLM providers for processing
  • We configure no-training settings with our AI subprocessors where available and do not allow content processed through our service to be used for training third-party AI models
  • Individual provider terms and retention policies apply; see our Subprocessors page for details
  • You acknowledge potential costs associated with LLM API usage may apply
  • You accept that LLM outputs may contain inaccuracies or hallucinations

6. User Content and Data

6.1 Your Responsibilities

You are solely responsible for:

  • All data and content you authorize Refinix to access or process
  • Ensuring you have authorization to monitor any third-party accounts or groups
  • Complying with all applicable laws regarding data collection and analysis
  • Respecting the privacy and rights of individuals whose data you monitor

6.2 User Content Licence

You grant Refinix a limited, non-exclusive, worldwide licence to access, process, transmit, store, analyse, and display User Content solely as necessary to provide, maintain, secure, and improve the Service. This licence terminates when you delete your account or revoke the relevant authorisation, except where retention is required by law or for legitimate operational purposes (e.g., backups, security logs).

6.3 Data Processing and AI Analysis

You acknowledge that:

  • AI-generated insights are tools for research and are not investment advice or guaranteed accuracy
  • Generated summaries may contain inaccuracies, bias, or misinterpretations
  • You should independently verify any insights before making decisions based on them
  • We are not liable for decisions or actions taken based on AI-generated content

7. Subscription and Billing

7.1 Subscription Plans

Refinix offers subscription plans with varying features, access levels, and usage limits. Each plan includes:

  • Access to specified features based on plan tier
  • Usage-based limits depending on subscription tier
  • Support and API access levels

7.2 Billing and Payments

You agree to:

  • Provide accurate billing information
  • Pay all charges incurred under your account in accordance with the plan terms
  • Keep payment methods current and valid
  • Comply with any payment processor's terms and conditions

7.3 Refunds and Cancellation

Refinix charges are generally non-refundable unless required by applicable law. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. For detailed refund policies, please contact support@refinix.ai.

8. Acceptable Use

You agree not to:

  • Violate Laws: Use the Service to violate any applicable laws, regulations, or third-party rights
  • Unauthorized Access: Attempt to gain unauthorized access to accounts, systems, or data
  • Abuse: Abuse, threaten, or harass other users or Refinix staff
  • Reverse Engineering: Reverse-engineer, decompile, or attempt to derive the source code of the Service
  • Spam: Send spam, phishing, malware, or malicious content
  • Scraping: Scrape or extract data beyond authorized monitoring features
  • Interference: Interfere with the Service's operation or functionality
  • IP Violation: Infringe on intellectual property rights of Refinix or third parties
  • Misrepresentation: Impersonate others or misrepresent your identity or authorization
  • Financial Crimes: Use the Service for insider trading, market manipulation, or financial fraud
  • Privacy Violation: Collect or process personal data in violation of privacy laws

9. Intellectual Property Rights

9.1 Refinix IP

The Service, including all software, design, text, graphics, logos, and features, is owned by Refinix or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes.

9.2 AI-Generated Content

Refinix retains all rights to the Service and platform-generated functionality, while users may use generated outputs for their internal personal or business use subject to these Terms.

9.3 Third-Party Content

Refinix aggregates and analyzes content from Telegram and X (formerly Twitter). All original content remains owned by its respective creators and platform providers. You agree not to violate the intellectual property rights of original content creators.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, completeness, or reliability of data and insights
  • Uninterrupted or error-free service availability
  • That alerts, summaries, or insights will be complete, timely, accurate, or uninterrupted

10.2 Limitation of Damages

IN NO EVENT SHALL REFINIX BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from reliance on AI-generated content
  • Investment losses or financial harm
  • Damages arising from third-party content or third-party services

TOTAL LIABILITY LIMITATION: Our total liability for any claim arising from this agreement shall not exceed the amount you paid Refinix in the 12 months preceding the claim. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.

10.3 AI-Generated Content Disclaimer

REFINIX IS NOT LIABLE FOR ANY INACCURACIES, OMISSIONS, OR ERRORS IN AI-GENERATED INSIGHTS. Refinix is not authorised or regulated by the Financial Conduct Authority and does not provide regulated financial advice, investment recommendations, or portfolio management services. AI systems may produce hallucinations, biases, or misinterpretations. You should:

  • Independently verify all insights before making decisions
  • Not rely solely on AI-generated content for investment or business decisions
  • Consult qualified advisors (legal, financial, technical) for important decisions
  • Accept full responsibility for any decisions based on Refinix insights

11. Indemnification

You agree to indemnify, defend, and hold harmless Refinix, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any law or third-party rights
  • Your breach of representations or warranties
  • Data you authorize Refinix to access or process
  • Decisions or actions taken based on AI-generated content

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute Resolution

13.1 Informal Resolution

Before pursuing any formal action, you agree to contact support@refinix.ai with written notice of your dispute. We will attempt to resolve the matter informally within 30 days.

14. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, labor disputes, internet or infrastructure outages, third-party API failures or changes, and denial-of-service attacks.

15. Modifications to the Service

We may modify, suspend, or discontinue any aspect of the Service at any time without liability. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

16. Export Restrictions

You agree not to use the Service in violation of export laws or sanctions, including UK, EU, US, OFAC, and other applicable sanctions restrictions. You acknowledge that the Service may not be available in certain jurisdictions due to export controls.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Refinix regarding the Service and supersede all prior understandings and agreements. Any conflicts between policies are resolved in this order: Terms of Service, Privacy Policy, Cookie Policy.
